About Attorney Eisner
My experiences with different types of agreements—and different types of personalities—has given me the opportunity to study why some agreements work out successfully while others do not. These experiences have led me to think critically about how to create business agreements that are both workable and durable.

My father was a lawyer who started a business in the year I was born. Although he was fully a businessman and ran the business for thirty years, he never completely left law behind. He used the tools of legal analysis and inquiry in his business life but also conducted many a moot court on family trips riding in the car. I grew up with the twin vines of law and business and learned in a very basic way to understand that the two vines are closely entangled and entwined; one vine needs to interact and support the other for a business to be successful.
Why is it some business relationships are successful and achieve their goals while others fail? What is the process of building a successful agreement? The answers lie in the concepts of both relationship and Creative Thought Structures™ because successful business relationships are built upon coherent and clear underlying agreements as to the nature, purpose, and goals of the relationship.
Whether it is developing partnership agreements, licensing agreements, or services contracts, I see my role in business transactions as the third component in a set of gears designed to turn ideas and concepts into functioning Creative Thought Structures™:
- Gear Component #1, Business: The art of seeking opportunities and evaluating risks inherent in turning entrepreneurial possibilities into realities.
- Gear Component #2, Law: The enforceable system is designed to reduce uncertainties between the parties as business people seek to put their ideas and goals into motion.
- Gear Component #3, Attorney: The gear that brings the enforceability of legal structure to the proposed business transactions to help the parties achieve their intended results.
Client Testimonial
In my former company, Larry worked closely with us to develop IT contracts with large clients in New Zealand. He was excellent at crafting language that addressed specific contract issues on both sides, while protecting our company’s interests. Larry grasped situations quickly and clearly, and he was able to keep complicated negotiations moving along to a timely conclusion. His strong communication skills made it easier to work across the miles and time zones, which could have been very difficult otherwise. I always found Larry to be insightful and easy to work with, and I’d recommend his services without reservation.

I appreciate the time that clients have taken to acknowledge their satisfaction with my services by providing testimonials.
Paul Kenyon, Co-founder & Co-CEO, Avecto
Larry Eisner worked closely with Avecto for several years, helping with all legal matters including sales agreements, terms and conditions for software end-user licensing agreements, and even HR issues. Larry was particularly valuable to Avecto in negotiating channel partner, distributor, and reseller agreements with significant national and multi-national customers. He worked closely with us to negotiate customer contracts and to ensure that the company was protected. Without his help, it’s likely we would have exposed ourselves unnecessarily.
Larry required very little to no time to get up to speed on contracts and our general situation. His experience and knowledge was always spot on and his calm demeanour worked really well when dealing with our customers’ legal team. I would definitely recommend Larry’s services to other business owners who need expert legal guidance from an attorney who works in their best interests.
Richard Morrison, Former President & COO, AppSense
Our software company has developed technology to solve problems that arise when users virtualize their desktops. We work with both technology partners and end-user companies in the growing virtual marketplace. It’s vital to our company that we have solid contracts and licensing agreements with our end-users and partners. Larry Eisner has unique and specific knowledge about the software contract process, and has the experience we need to construct contracts that protect our interests, both domestically and internationally. Larry also acts as our business development consultant, watching out for the essentials when, for example, developing an OEM contract and protecting our intellectual property rights. Larry gives excellent value for the money—his business acumen, technical orientation, and reliability make him a valuable part-time resource for AppSense.
Brian Jones, CEO, Simpro Systems
In 2012, Larry was a big help to me when I started my limited liability company in Connecticut—Simpro Systems—which focuses on biometric security systems. I had contacts in the middle east, particularly Abu Dhabi of the United Arab Emirates, and I was developing a relationship with a business entity there. In order to do business in Abu Dhabi, I needed an operating agreement between Simpro Systems and the business entity that met the needs of both parties and that would be in accordance with Abu Dhabi law. Larry drafted the initial agreement, which was very well received by the government; in fact, they said it was one of the best they had ever seen. I have every confidence in Larry’s ability to create well-researched, well-crafted agreements that represent both parties fairly while giving special consideration to my own company. And I certainly would recommend these skills to any company—especially start-ups—that need this kind of expert assistance.
Harry Dayton, President, Servicengine
Servicengine, an enterprise software company, relies on Attorney Eisner to negotiate directly with our clients and their legal representatives to develop software licensing agreements. Our clients are national Fortune 500 companies and audit firms, and the agreements are often complex. Larry is our ongoing resource for making sure Servicengine’s rights are protected. He’s worked on six major agreements for us, and each time he’s helped us feel secure and comfortable through a tough negotiating process. The results have always represented our interests fairly, legally, and economically. We wouldn’t hesitate to recommend Larry’s services to other business owners.
David Toole, Former CFO, Tangoe, Inc.
As the CFO for a fast-growing software company servicing Fortune 500 customers, I needed a point person who could respond promptly and cost-effectively to our sales team during the negotiation of legal terms in our sales contracts. But we were not at the point where we needed this person on staff full-time. Attorney Eisner became that resource as a third-party contractor. Larry learned our business quickly and worked with our sales team to draft and negotiate reasonable contracts without slowing down the deal. I wouldn’t hesitate to recommend Larry’s services to other business owners/managers.
Rachel Cunliffe, Finance Director, Avecto
I have worked with Larry for many years at my previous company and whilst with Avecto. Larry provided legal advice to senior management for a wide variety of sales and operational global agreements, including security software licensing and maintenance agreements, professional services and support services. Working almost as an extension of our staff, Larry was always reliable, efficient and took the time to understand what the business and the customer needed to achieve. Larry always brought alternative options forward where applicable and kept everyone positive and focused through the detailed process of contract negotiations, moving them along to avoid costly delays. He was always available, despite the distance and time difference between our two companies. I would recommend Larry to any business that is considering working with him.
Neil Myers, Finance Director, AppSense
AppSense is a leading provider of user virtualization technology to enterprise organizations. Based in the UK, AppSense made significant investments in the US operation during fiscal 2008-09. However, as we didn’t have internal legal counsel at that time, we needed to identify legal counsel in the U.S. with commercial law and contract experience. Attorney Eisner was recommended by a colleague, and it was a perfect match. Larry worked as our external legal counsel for 18 months, negotiating on our behalf and developing new contracts with our U.S. customers. Larry always acted with our best interests in mind, developing concise contracts that worked to our advantage. Besides being an expert in contract law, Larry is responsive, professional, and courteous. We wouldn’t hesitate to recommend him to a company that is currently too small for in-house counsel, but needs expert legal services in order to grow.
Matthew Knutsen, Vice President & General Manager, Americas, Avecto (formerly of AppSense, Vice President, North American Sales)
Both companies I’ve worked with—Appsense and now Avecto—were in need of an experienced technology licensing lawyer/generalist to review and amend software licensing and service agreements. Before we grew to the point where we hired in-house counsel, both companies engaged Larry and he acted as an extended part of our team. In both cases, he was a key part of the team as our business doubled year-over-year.
Larry is a very skilled, sensible and pragmatic lawyer. He directly helped us secure millions of dollars in business. We always found Larry to be responsive and ready to engage whenever we needed his assistance, and 100% reliable and willing to adjust his schedule to ensure we met our deadlines.
I would recommend Larry without hesitation to any growing service firm that needs expert legal assistance with contracts and agreements.

Richard Brooks, Former Vice President of Sales for Europe/Middle East/Asia (EMEA), Avecto
We sell security software to customers in several industries—from financial services to consumer products—so we need to have customized contracts and terms of agreement in place. In our growth phase, we couldn’t afford to keep a lawyer on staff, so Larry became an extension of our staff. He expertly negotiated contracts and agreements in our best interests and kept our customers happy, as well. That’s Larry’s strength— he finds a solution to the problem with a very nice mannerism, but still protects our position and gets it across the line.
Since we’re a quarterly driven business, we need to hit our revenue targets quarterly. That often means making quick turns on deals—if there’s a delay in completing a contract, that impacts our numbers. Larry kept things going and always moved them to successful completion.
We wouldn’t have been able to do the deals we’ve done and grow at the rate we’ve grown without Larry’s sort of knowledge and capabilities around software contracts and deadline situations. And he was always available when needed, which is no easy thing since he’s in the United States and we’re based in Manchester, England and other locations around the globe. Despite the distance and time difference between us, he was like an extension of me, a part of our organization.
I wouldn’t hesitate to recommend Larry’s services to any company that is too small to have an attorney on staff, yet needs expert help with software agreements and contract negotiations. He can be counted on to get it done right.
Guy Walton, Enterprise Sales Manager, Avecto
Larry Eisner worked with our company for several years, essentially acting as our in-house attorney as we built our business. Larry is particularly skilled at developing agreements to address complex software licensing arrangements. The contracts he developed on Avecto’s behalf with two major international companies contained terms and conditions that protected Avecto, of course, but also considered the other parties’ needs. Through his negotiating skills, Larry was instrumental in our growth and development as a distributor and reseller to multi-national companies. I would say that without Larry’s assistance, we would not have been able to book the revenue from these two deals in order to meet our quarterly goals and booking those deals helped us continue the rapid growth we’ve enjoyed over the last several years. Larry’s work also facilitated our ability to develop the strategic alliances that led to that growth.
Despite the geographical distance and time difference, Larry was always there for us, very responsive and able to get up to speed quickly on new contracts and concerns. I wouldn’t hesitate to recommend Larry’s legal services to any company that values solid, thoughtful, well-crafted contracts and agreements—especially companies that are just starting up and wish to develop an international presence.
